Traps for the Unwary Seller

There are many, especially when the buyer retains counsel. Understand that accepting an Offer to Purchase creates a binding contract, even when subject to a future P&S–and even when the P&S isn’t signed by the given deadline! A standard Offer to Purchase, as is, forces you to complete the sale should you default. Proper language must be included to safeguard against this.

Even more important is the P&S itself. During the negotiation, the buyer may try decreasing the price for several reasons, including inspection results. Sometimes this is warranted, frequently it’s not. You must know which facts about the property you are–and aren’t–required to disclose. Meanwhile, buyers generally propose reasonable changes to the P&S, but some are unreasonable and should never be allowed.

As your attorney, I will: Advise you every step of the way; Prepare your Deed; Review and negotiate Offers to Purchase; Prepare, negotiate and insert critical clauses into your P&S; Ensure you retain deposits should the buyer default; Review any and all inspection reports; Deal with title issues raised by the buyer or lender’s attorney; Arrange for escrows and special arrangements to correct title, complete construction or assure possession; Transfer any security deposits and send notices to any tenants; Obtain account numbers and phone numbers for existing mortgages and lien holders; ATTEND YOUR CLOSING and draft/review all papers you’re told to sign; Prepare, if necessary, a Power of Attorney; For condominums, I review the Master Deed and Trust, and arrange for 6d Certificates, Insurance Certificates and Release of Right of First Refusal (if any).
